You must pick two names on this form, your first choice and second choice in case your first is not available. We will incorporate your business with EXACTLY what you enter in this field. If both choices are unavailable, we will contact you to obtain new choices.
Your Corporation name MUST END with one of the following corporate indicators:
Incorporated (or Inc.)
Corporation (or Corp.)
Company (or Co.)
Keep in mind that the following names:
XYZ Services, Inc.
XYZ Services Corporation
XYZ Services Corp.
are all considered the same to the State, so make sure your second choice is different from your first and not simply a different corporate ending.
Where as Directors are responsible for the overall direction of the company, Officers are appointed by the Director(s) to run the day-to-day operations of the company. Officers of a corporation usually include a President (or CEO), Secretary, and a Treasurer (or CFO). One person may serve as all the Officers (and Directors). Typical Duties of Each Position:
President - manages the company.
Vice-President - manages the company when the President is absent.
Secretary - maintains company files and meeting minutes.
Treasurer - manages the company bank accounts
All states require that your Corporation maintain a registered agent. A Registered Agent is simply a person or company responsible for receiving important legal and tax documents on behalf of your corporation. You may act as your own Registered Agent provided you have a physical address in your state and are available during business hours. Unless instructed otherwise, we will request 1,000 Shares of No Par Value stock so you qualify for the minimum incorporating fee. If you wish to authorize more or less shares, then you may change the value below. In Florida, you can authorize an unlimited number of shares of No Par Value stock
